PRIVATE PLACEMENT OFFERING MEMORANDUM OVERVIEW

If you want to raise funds through a private offering (versus a public offering), you will likely need or benefit from a private placement memorandum (PPM). A PPM, also known as an offering memorandum, is a legal document that a seller of stock or securities offers to prospective investors. A PPM is used specifically in “private” transactions, i.e. when the securities sold are unregistered with the Security and Exchange Commission (SEC) or under other applicable federal or state law by using an exemption from registration.

A PPM should be well-written and clear. PPMs help investors understand both the value and risk inherent in a business, as well as other important features of a company such as the profiles of its management team or the investment structure. It’s important (and beneficial) for a company to be as transparent as possible in the PPM. For example, if a company has declared bankruptcy, the PPM should disclose this. Sophisticated investors understand that all early-stage and private capital raising comes with a high degree of risk, and they are used to and expect such disclosures. It is much better to disclose full risk profiles and potential liabilities upfront than to have them surface down the line, potentially resulting in a federal fraud charge or private lawsuit.

Common elements of a PPM include notices to investors, executive summary, company purpose and overview, terms of the offering and securities, risk factors, use of proceeds, financial information, management, and legal and tax matters. It also includes exhibits such as the subscription agreement, governing documents like bylaws and certificate of incorporation, and an investor questionnaire. The disclosures that are included in the PPM will vary based on which exemption from registration is being used, the target investors, and the terms of the offering.

PPMs are key documents in a private transaction that carry legal significance as well as marketing significance, so it’s advisable to have an attorney compose and/or review them.
